First of all, my choice between the NV and the BV was a journey on it’s own, in short these are the most important differences between the NV and the BV, which you should keep in mind if you consider doing a company formation in The Netherlands, just like I did. The main difference is that a BV can only issue registered shares. The NV can issue registered shares as well as bearer (freely transferable) shares. The shares of an NV can be listed on a stock exchange. One very important difference is that the incorporation of an NV requires a paid-in capital of EUR 45,000. Not everybody wants that and that was one of the reasons for me to choose for the BV instead of the NV. But al choices are good, you just need to know this differences. NV stands for Naamloze Vennootschap and BV stands for Besloten Vennootschap. A Dutch BV may be created by one or more individuals or legal entities. There is indeed a minimum paid in capital but the minimum capital is only EUR 0,01. The deed must be in Dutch and the deed contains the Articles of Associaton, consisting of at least:
